1. The agreement

Vuelly is operated by Corey Tatnell trading as Vuelly, a sole trader (ABN 82 478 788 326), in Queensland, Australia. Vuelly is not a registered business name. Contact hello@vuelly.com. The service is at https://vuelly.com.

In these terms, "we" and "us" mean Corey Tatnell trading as Vuelly. "You" means the agency that creates an account, and the person who accepts these terms for that agency. You confirm that you have authority to bind the agency. A "client" is a customer of the agency whose marketing accounts are connected. "Platform data" is data we read from Meta or Klaviyo for a client.

You accept these terms by creating an account, signing in, or connecting a platform. If you do not agree, do not use Vuelly.

2. The service

Vuelly is a business-to-business reporting dashboard. An agency signs in, adds clients, connects those clients' Meta ad accounts and Klaviyo accounts on a read-only basis, and views aggregated performance. The agency can give a client a link to a read-only view of that client's report.

The figures come from the platforms. They can be delayed, sampled, or defined differently from the screen inside Meta Ads Manager or Klaviyo. We do not promise that a number in Vuelly will match another screen. Check a figure that matters before you send it to a client or rely on it in a decision.

A demonstration login may exist on non-production builds. Do not connect a real client account to a demonstration environment. Production does not offer the demonstration login.

3. Accounts

Sign-in is with Google. You must use an account you are allowed to use, and you must keep control of it. Tell us promptly at hello@vuelly.com if you believe the account has been misused.

The first person to sign in becomes the owner of a new agency workspace. The product does not yet invite additional members. You are responsible for what is done through your workspace.

You must give accurate account details and keep the email address current, because we use it for notices.

4. Your responsibilities

You are responsible for:

  • having the client's authority before you connect the client's Meta ad account or Klaviyo account, and before you show that client's report to anyone;
  • the law that applies to you as the organisation that decides why that client data is collected, including giving your own clients any notice the Privacy Act, or another law that applies to you, requires;
  • the names, goals, and other material you type into Vuelly, and the campaign and flow names that will be copied from the platforms;
  • deciding who receives a share link, and revoking it when that person should no longer have it;
  • your own compliance with Meta's terms, Klaviyo's terms, and your contract with the client.

You must not connect an account you do not have permission to read. If a client withdraws permission, disconnect the account in Vuelly.

5. Third-party platforms

Meta, Klaviyo, and Google are separate services with their own terms. Your use of them is between you and that provider. We are not a party to those terms and we do not control their availability, their metric definitions, or their review of our app.

The Meta connection requests ads_read and business_management. It is read-only. It does not create or change ads. The Klaviyo OAuth connection requests read scopes for accounts, campaigns, flows, metrics, and lists. Details of what we store are in the Privacy Policy.

A platform can revoke a token, change an API, or suspend an app. If that happens, the affected part of Vuelly may stop until you reconnect or the platform restores access. That is not a breach of these terms by us.

6. Acceptable use

You must not, and must not let anyone else:

  • break the law, or infringe someone else's rights, using the service;
  • attempt to access another agency's workspace or data;
  • probe, scan, or test the vulnerability of the service except under a test we have agreed in writing;
  • overload the service, bypass a rate limit, or circumvent access controls;
  • use platform data for advertising, audience building, or resale, or for any purpose other than your own client reporting;
  • misrepresent Vuelly's numbers as audited, or suggest that we are Meta, Klaviyo, or Google;
  • upload malware or use the service to send unlawful email.

7. Share links

A share link is a bearer secret. Anyone who has it can view that client's report until the link expires or you revoke it. New and rotated links expire 90 days after issue, unless you choose a link that does not expire. You should treat a link like a password and send it only to the client who should see it.

We store a hash of the secret. We cannot recover a lost link. Rotate it to issue a new one. Revocation takes effect when our servers record it. A copy someone already downloaded is outside our control.

8. Intellectual property

We own the service, the software, the visual design, and the Vuelly name as a trading name. These terms do not transfer that ownership. We give you a non-exclusive licence to use the service during the term, for your internal agency reporting and for share views you issue to your clients. You may not copy the product, resell access, or reverse engineer it except to the extent the law does not allow us to prohibit that.

You own your account data, the client records you enter, and the platform data you instruct us to process. You give us a licence to host, copy, and display that material only so we can provide the service, including to people who hold a live share link. The licence ends when the material is deleted under the Privacy Policy, except for copies in a provider backup until that backup expires.

If you send us feedback, we may use it to improve the service without any obligation to pay you. We will not publish it in a way that identifies you without your agreement.

9. Confidentiality

Each party will keep the other's confidential information secret and use it only to perform this contract. Confidential information includes client reports, tokens, unpublished product plans, and the terms of any fee we quote you. It does not include information that is public through no fault of the receiver, that the receiver already knew, that the receiver independently developed, or that must be disclosed by law. A person who receives a disclosure required by law will, where lawful, give the other party prior notice.

Platform tokens and encryption keys are our confidential information as well as security material. You must not attempt to extract them.

10. Privacy and data processing

The Privacy Policy describes what we collect and how we handle it. This section is the processing summary a customer's procurement or legal review usually asks for. It is not a separate European Article 28 data processing agreement. If a client requires a signed DPA, ask us. We do not claim that this section meets every jurisdiction's statutory form.

10.1 Roles

For platform data pulled from Meta or Klaviyo, you are the controller and we are the processor (service provider). For your account data, including the Google profile we store, we are the controller. The Privacy Policy says the same thing in more detail.

10.2 Instructions

Your instructions are to process platform data to provide the dashboard, the sync, the share links you create, and the support you request, and to delete it as the Privacy Policy and the data deletion page describe. We will not process platform data for a different purpose unless the law requires it, in which case we will tell you unless the law prohibits that.

10.3 Subject matter and duration

The subject matter is hosted reporting. The duration is the life of the account plus the retention periods in the Privacy Policy. The people concerned are your users and, to the extent a client name or a campaign name identifies a person, those people. The data is the categories in the Privacy Policy. We do not store Klaviyo subscriber profiles.

10.4 Security, subprocessors, and overseas access

The security measures we actually operate are described on the security page. The subprocessors, and the countries where data may be handled, are listed in the Privacy Policy. We will update that list before a new subprocessor starts handling personal information, unless a change is required to contain an incident, in which case we will update it as soon as we can.

10.5 Assistance

We will provide reasonable help, given the nature of the service, so you can respond to a request for access, correction, or deletion of platform data. We will tell you without undue delay if we become aware of a security incident affecting platform data, and we will handle an eligible data breach as the Privacy Policy describes.

10.6 Return and deletion

There is no self-serve export of the whole workspace. On a verified request we will delete the account and the platform data we hold, within the times in the Privacy Policy, and we can return a copy of the reporting rows we still hold if you ask before we delete them. We may keep records the law requires.

11. Fees, taxes, and refunds

Paid subscriptions are not live. If and when paid plans are introduced, we will not charge you until we show you a price, a billing period, and what is included, and you agree. That price will be published in this section before any charge.

Fees are in Australian dollars unless the price you accept says otherwise, and are exclusive of GST. If GST applies, we will add it and issue a tax invoice. You are responsible for any withholding or similar tax that the law places on you, other than tax on our income.

When billing exists, you may cancel a subscription at any time. Access continues until the end of the period you have already paid for. Cancelling because you have changed your mind does not, by itself, refund that period. That sentence does not limit a refund or other remedy the Australian Consumer Law requires, which section 13 preserves. We do not invent a cooling-off period the law does not give.

If we introduce a material adverse change during a period you have prepaid, you may cancel before the change takes effect and we will refund the unused portion of that period.

12. Availability

We provide the service as available. We do not offer a service level agreement, an uptime target, or support hours. Maintenance, a platform outage, a failed sync, or a hosting fault can interrupt it. We will try to correct faults that we can correct, within a reasonable time, which is also what the consumer guarantees require where they apply.

13. Australian Consumer Law

The Australian Consumer Law, Schedule 2 to the Competition and Consumer Act 2010 (Cth), can apply to a business customer. It gives guarantees that services will be provided with due care and skill, will be reasonably fit for a purpose you made known, and will be supplied within a reasonable time, where you acquire the service as a consumer.

Nothing in these terms excludes, restricts, or modifies a guarantee, right, or remedy that the Australian Consumer Law does not allow us to exclude. We do not ask you to pay extra for a right a consumer guarantee already gives you. A "no refund" statement in a chat or an invoice does not remove those rights.

Where the service is not of a kind ordinarily acquired for personal, domestic, or household use, and it is fair and reasonable in the circumstances, we limit our liability for failure to comply with a consumer guarantee to, at our option, resupplying the service or paying the cost of having the service resupplied. That limit applies only to the extent section 64A of the Australian Consumer Law permits it. It does not apply where it would not be fair or reasonable.

These terms are a standard form. If you are a small business covered by the unfair contract terms regime (fewer than 100 employees, or annual turnover under $10 million), a term that is unfair is void and we must not rely on it. The liability cap, the indemnity, and our right to change the terms are written so they can be assessed against that regime. They do not override section 13.

14. Liability

Apart from liability that section 13 preserves, and apart from liability for fraud or wilful misconduct, each party's aggregate liability arising out of the service or these terms in a 12-month period is limited to the fees you paid us for the service in that period. If you paid no fees, the limit is AUD 100.

Apart from those same matters, and apart from a breach of section 9 or the indemnity in section 15, neither party is liable to the other for loss of profit, revenue, goodwill, or anticipated savings, or for indirect or consequential loss, whether in contract, negligence, or otherwise.

The cap and the exclusion apply to both parties. They do not apply to a liability the law does not allow us to limit. You should insure for losses above the cap if those losses would matter to your agency.

15. Indemnity

You will indemnify us against a claim by a third party, and the reasonable cost of defending it, to the extent the claim arises from:

  • you connecting a Meta or Klaviyo account without authority;
  • platform data, or material you entered, infringing someone's rights or breaching a law;
  • your breach of Meta's or Klaviyo's terms; or
  • your breach of section 6.

The indemnity is reduced to the extent the claim was caused by our breach of these terms, our negligence, or our wilful misconduct. You do not have to indemnify us for our own decision to keep operating a connection after you have asked us to disconnect it. We will give you prompt notice of a claim, and we will not settle it in a way that admits fault on your behalf without your agreement, which you must not unreasonably withhold.

16. Suspension and ending the contract

You may stop using Vuelly at any time. You may close the account by emailing hello@vuelly.com from the account address. There is no in-product account-deletion button yet. We delete the account as the Privacy Policy describes.

We may suspend access if we reasonably believe you have broken section 6, a platform has required us to, non-payment continues for 14 days after notice once fees exist, or suspension is needed to contain a security risk. We will tell you before we suspend, or as soon as we can afterwards if telling you first would increase the risk. Suspension lasts only while the reason lasts.

Either party may end the contract for a material breach that is not fixed within 14 days after written notice. We may end it immediately for a serious breach of section 6, or if we stop offering the service, with reasonable notice where we can give it. On ending, your licence stops, share links stop when we revoke them, and deletion follows the Privacy Policy. Sections 8, 9, 13, 14, 15, and accrued payment obligations continue.

17. Changes to these terms

We may change these terms. We will post the new version on this page with a new date. If the change is material, we will email the account address or show a notice in the product at least 14 days before it applies. If you do not agree, you may close the account before the effective date. Section 11 deals with a prepaid period. Continuing to use the service after the effective date is acceptance of the change.

A change that would reduce a non-excludable consumer guarantee has no effect.

18. Law, notices, and general

The laws of Queensland, Australia govern these terms. The courts of Queensland have non-exclusive jurisdiction. Nothing in this section stops you from taking a consumer-guarantee dispute to a tribunal or court that the Australian Consumer Law allows.

Notices to us go to hello@vuelly.com. Notices to you go to the email on the account. A notice is taken to be received on the next business day after it is sent, unless the sender receives a delivery failure.

You may not assign this contract without our consent, which we will not unreasonably withhold. We may assign it to a buyer of the business who agrees to be bound by it, and we will tell you. A term that is unenforceable is severed, and the rest stays in force. A failure to enforce a term once is not a waiver. These terms, together with the Privacy Policy, are the whole agreement about the service. They do not limit liability for misleading or deceptive conduct.
